As Of Counsel to the firm of Stoll Keenon Ogden, I provide nineteen years of experience in health care, compliance, administrative/regulatory, employment, and general business law to the firm’s clients nationwide. I have handled a wide range of health law compliance and business issues and currently work with clients dealing with issues with regulators in over states involving Long Term Care, Medicare and Medicaid Reimbursement, licensing, and general regulatory/administrative law issues. My work in the federal arena entails matters before several agencies. Those agencies include the Centers for Medicare and Medicaid Services, the FDA, FHA, and the VA. I advise and assess the legal needs of the long-term care industry as they navigate through the many corporate laws and regulations mandated for licensing, Medicare and Medicaid certification as well as reimbursement, certificate of need, advertising, and consumer protection. I am currently certified as a Health Care Compliance professional and have implemented and prepared several compliance programs in long-term care, physician practices, durable medical equipment and infusion therapy company, and pharmaceutical company settings. These company compliance programs were prepared for both publicly and privately held companies. In addition, I am compliance counsel for health care providers currently under a Corporate Integrity Agreement.
I served as IPO regulatory counsel for several Wall Street financial underwriters when they took public a national senior living company having more than facilities in the United States. I traveled throughout the country conducting due diligence, evaluating systems, regulatory compliance, policies, and procedures relating to the risk analysis of the IPO. I continue to perform due diligence for health care clients as they seek to purchase or merge their operations in many different health care businesses, such as Long Term Care Facilities, Home Health, Hospice, Physician Practices, Durable Medical Equipment, and Pharmacy. I also prepared change of ownership documents for over facilities during my career and played a major role in many start up operations of many different health care disciplines, including pharmacies, long-term care facilities and home health agencies.
I am licensed to practice law in Kentucky, Texas, and Delaware as well as nine federal district and circuit courts. I am frequently called upon to respond to the media when major case decisions are delivered by various courts. I participated in the drafting of assisted living laws in Delaware, Texas, and Alabama. I worked on Tort Reform in Florida and Texas. I also represent individual and corporate health care providers before various state professional licensing boards.



Having been a Deputy Attorney General representing several different divisions within the Delaware Department of Health and Social Services for more than eight years, and having received the state attorney general's highest award for achievement, I understand the complexity of state government and the need to do “Your Homework” as both a regulator and as I being regulated. I prosecuted health care professionals before the Boards of Pharmacy, Health, Medicine, Pharmacy, Nursing Home Administrators, Dentists, Chiropractors, Nurses, Social Workers, and Realtors. I was counsel also to Delaware’s first Ethics Commission, and counsel to the Board of Social Workers, Board of Plumbers, and the Commission on Radioactive Materials. I was Delaware’s first “AIDS” attorney with the responsibility of training all court personnel on the issues surrounding AIDS and the judicial system. I also was the attorney for the Delaware State Hospital and Delaware’s three long-term care facilities. Lastly, for several years I was also the assigned attorney for the Department of Public Health. During my tenure as the attorney assigned to Public Health, we faced major issues regarding AIDS, environmental oil spills, and I prosecuted and decertified three nursing homes. I also drafted many laws and regulations, some that have served as models in many states across the country such as those for the involuntary commitment of individuals with tuberculosis and revised the state’s involuntary commitment laws.

While a Deputy Attorney General in Delaware, I provided day-to-day counsel to the division responsible for health care facilities’ licensing and certification. I participated in the review and prosecution of regulatory deficiencies, the investigation of complaints, facility plan reviews and the promulgation of regulations. I worked closely with federal representatives of HCFA, now CMS, and the US Department of Justice and the Delaware Medicaid Fraud Unit. In addition, I successfully represented the state in a major judicial challenge to the Certificate of Need Board ruling. During the last several years, I successfully represented health care professionals and companies before the US Department of Justice when being targeted for both civil and criminal violations of various reimbursement regulations and false claim submission.
Prior to my career in law, I was a human resource professional for twelve years and have significant experience in labor relations and union negotiations. During my legal career, I also provide HR consulting and advice to many of my clients. I also enjoy providing risk management guidance and training in-house in these areas. I also was a graduate school professor at Wilmington College in Wilmington Delaware for eight years during my time in the Delaware Attorney General’s office. I taught in Wilmington College’s graduate school program for public administration and business including but not limited to Administrative, Insurance and Health law. I speak nationally and have written many articles on various health laws, licensing, and regulatory law issues. Most recently, I presented to Northern Ireland and Republic of Ireland government officials in the area of health regulation and policy development, as well as SIPTU, the union for government health employees; lecturing on cultural diversity. This presentation was on March , in Savannah, Georgia.
I am a member of hcPRO’s Editorial Advisory Board on Long Term Care Publications.
I am presently writing a book on the retention of health care workers in the long-term care industry.
